This is the last Will and Testament of me William Batchelor Brownlow of the Borough of Kingston upon Hull Shipowner made and published this thirteenth day of September in the year of our Lord one thousand eight hundred and sixty four First I direct all my legal debts formal and testamentary expenses and the charge of proving and registering this my will to be fully paid and satisfied by my executors hereinafter named so soon as conveniently may be after my decease I give and bequeath unto John Brownlow of North Somercotes in the County of Lincoln Gentleman an annuity or yearly sum of one hundred pounds during his life I give and bequeath unto my housekeeper Martha Batchelor an annuity or yearly sum of one hundred and twenty pounds during her life I give and bequeath unto Christiana the wife of John Kingsley of Wortley in the County of York Ironfounder an annuity or yearly sum of one hundred pounds during her life for her sole and separate use and benefit free from the debts control and engagements of her present or any future husband and without power of alienation or anticipation I give and bequeath unto Thomas Patrick the Elder of South Thompson in North America Farmer an annuity or yearly sum of forty pounds during his life I give and bequeath unto Mary Maxwell of Kingston upon Hull aforesaid Widow an annuity or yearly sum of thirty pounds during her life I give and bequeath unto Ellen the wife of John Batty an annuity or yearly sum of thirty pounds during her life for her sole and separate use and benefit free from the debts control and engagements of her present or any future husband and without power of alienation or anticipation And I give and bequeath unto Mary Hudson the widow of Thomas Hudson late of Kingston upon Hull aforesaid Steam Packet Agent an annuity or yearly sum of twenty six pounds during her life And I direct that each of the said several annuities herein before bequeathed shall be paid clear of legacy duty and all other incidental expenses and deductions by equal quarterly payments with a proportional part thereof so as to complete the period between the day of my decease and the day of the decease of the said annuitant and that the first payment of each of the said annuities shall be made within three calendar months from my decease and shall be proportional to the time which shall have elapsed from the day of my decease to the day of such payment And I direct and request my trustees or trustee for the time being to provide for the several annuities hereinbefore bequeathed by setting apart a sufficient portion of the produce of my residuary real and personal estates for that purpose or by purchasing an annuity or annuities of the like amount or respective amounts from government or from some respectable public life insurance or annuity company And I declare that if any part or parts of the produce of my residuary real and personal estates should be so set apart as aforesaid and the annual produce or income of such part or parts respectively should at the time or respective times of their being so set apart be sufficient to produce the annuity or respective annuities for which the same shall be set apart the setting apart of such part or parts respectively of the said produce of my residuary real and personal estates shall be deemed and taken to be a complete satisfaction of the trust to provide for the annuity or annuities for which the same shall be so set apart and shall be a complete exoneration of the other parts of my estates therefrom although such part or parts respectively shall afterwards prove insufficient to provide for the same annuity or respective annuities But the capital of such part or parts respectively shall if necessary be applicable to the payment of the annuity or respective annuities to provide for which the same shall have been set apart I give and bequeath to the respective Treasurers for the time being of the following charitable Institutions the legacies following which I direct shall be applied towards the purposes and for the benefit of the same institutions respectively that is to say To the General Infirmary at Kingston upon Hull aforesaid the sum of Eight hundred pounds To the Marines Church Society (for the education of boys) at the same place the sum of Three hundred pounds To the Ragged School at the same place the sum of Two hundred pounds To the Dispensary at the same place the sum of Two hundred pounds To the Female Penitentiary of the same place the sum of One hundred pounds To the Lying in Charity at the same place the sum of One hundred pounds and to the Vicar for the time being of the Parish of Brantingham in the County of York the sum of two hundred pounds one moiety of which I direct shall be applied by him in such manner as he shall think most advisable for the benefit of the National Parish School at Ellerker in the said County of York and the other moiety of the said sum I direct shall be laid out and expended in ornamenting or otherwise improving the building of the Church at Ellerker aforesaid in such manner as the said Vicar shall think most advisable which said several legacies I direct shall be paid at the end of twelve calendar months next after my decease out of such parts of my personal estate as may legally be devoted to charitable purposes I give devise and bequeath all my messuages lands tenements hereditaments and real estate whatsoever and wheresoever and of what tenure or quality soever And also all my ships and shares of ships moneys and securities for money and all and every other my personal estate and effects whatsoever and wheresoever and of what nature or kind several (not hereinbefore disposed of) unto and to the use of William Walter Thompson and Henry Cobby both of Kingston upon Hull aforesaid Merchants Clerks their heirs executors administrators and assigns according to the several natures and tenures thereof respectively Upon trust that they my said trustees or the trustees or trustee for the time being of this my will do and shall either immediately after my decease or at any time afterwards as my said trustees or trustee for the time being shall deem expedient absolutely sell and dispose of my said real estate either by public auction or private contract and subject or not subject to any special or other conditions relative to the title or the evidence of title or otherwise as they shall deem expedient and with power to purchase in the same at any auction or auctions and also to rescind or alter any contract for sale actually entered into and do and shall for the purpose of carrying into effect such contracts for sale make and execute all necessary conveyances and assurances to the respective purchasers thereof or as they shall order and direct And do and shall receive collect sell dispose of and convert into money so much of my said personal estate as shall not consist of money And I declare that the receipt or receipts of my said trustees and the trustees and trustee for the time being of this my will for any money payable under the trusts thereof shall effectually discharge the person or persons paying the same from being answerable or accountable for the misapplication or nonapplication thereof or of any part thereof or from being obliged to see to the application thereof or of any part thereof or to enquire into the necessity or propriety of any sate or sales that may be made by virtue of this my will And I authorise and empower my said trustees or trustee for the time being in their or his absolute discretion to adjust settle and wind up all my accounts affairs and concerns and to admit allow pay compound compromise refer to arbitration waive suspend release or take personal or other security for any debts claims liabilities demands differences and disputes whatsoever which at the time of my decease or at anytime after my decease shall or may exist or be owing to or from or be made on behalf of or against or arise in relation to my real or personal estate and effects and that whether the same be legally enforceable or proveable or not And as to the moneys to arise from the sale of the said real estate so by me directed to be sold as aforesaid And also the moneys to arise by such collection and conversion of my personal estate as aforesaid together with my ready money and the net rents issues and profits to be received from my said real and personal estates until such sale and conversion as aforesaid shall take place (after deducting all costs charges and expenses attending such sale and conversion) my will is that they the said William Walter Thompson and Henry Cobby or other the trustees or trustee for the time being of this my will do and shall stand possessed thereof Upon the trusts and for the intents and purposes hereinafter expressed and declared concerning the same I give and bequeath unto the said William Walter Thompson the sum of five thousand pounds But if he should die before me then I give and bequeath unto his wife Elizabeth Thompson the sum of One thousand pounds I give and bequeath unto the said Henry Cobby the sum of Two thousand pounds and I give and bequeath unto William Cobby of Sheffield in the County of York Station Master or Manager of the railway there and my friend John Lumsden of Kingston upon Hull aforesaid Merchant the sum of one thousand pounds each I give and bequeath the sum of Eight hundred pounds unto each of the sisters of the said John Brownlow (the said Ellen Batty only excepted) who shall be living at my decease And in case any of them should die in my lifetime having a child or children who shall live to attain the age of twenty one years (but not including the children of the said Ellen Batty nor those of Ann Thompson deceased the late wife of William Alfred Thompson nor those of Betsey Goldsworthy deceased the late wife of John Goldsworthy who are hereinafter provided for) then and in such case it is my will that the child or children attaining the said age of each of the said sisters as well those who are now dead (except as before mentioned) as those so dying in my lifetime shall represent and stand in the place of his her or their deceased parent and shall be at entitled to the same legacy or sum of eight hundred pounds which his her or their deceased parent would have been entitled to if living at the time of my decease to be divided between or among such children if more than one in equal proportions and if there should be only one child then to go _ such only child I give and bequeath unto William Brownlow son of the said John Brownlow in case he shall attain the age of twenty two years the sum of one thousand two hundred pounds to be paid to and to be an interest vested in him at his age of twenty two years but not before And I direct that interest on the said sum shall in the meantime from my decease until the said William Brownlow shall attain the age of twenty two years or die under that age be paid and applied to and for his education and benefit as my trustees and executors shall think proper I give and bequeath unto William Alfred Thompson of Kingston upon Hull aforesaid Spirit Merchant the sum of Eight hundred pounds But in case he shall die before me then I give and bequeath the sum of Four hundred pounds part of the said sum of Eight hundred pounds unto his daughter Margaret the wife of William Erfrington Dixon But if she should die before me then unto such her child or children as shall be living at my decease if more than one in equal shares And as to the further sum of four hundred pounds the remainder of the said sum of eight hundred pounds I give and bequeath the same unto Emma the wife of Pool another of the daughters of the said William Alfred Thompson But if she should die before me then unto such her child or children as shall be living at my decease if more than one in equal shares I also give and bequeath unto the said Margaret Dixon the sum of Six hundred pounds or if she should die before me unto such her child or children as shall be living at my decease if more than one in equal shares I also give and bequeath unto the said Emma Pool the sum of Six hundred pounds or if she should die before unto such her child or children as shall be living at my decease if more than one in equal shares I give and bequeath unto the said John Brownlow the sum of One hundred pounds in addition to the annuity hereinbefore bequeathed to him I give and bequeath unto the said Martha Batchelor the sum of two hundred pounds in addition to the annuity hereinbefore bequeathed to her I give and bequeath unto the said Christiana Kingsley the sum of Eight hundred pounds in addition to the annuity hereinbefore bequeathed to her or if she should die before me unto such her child or children as shall be living at my decease if more than one in equal shares I give and bequeath unto the said Mary Maxwell the sum of four hundred pounds in addition to the annuity hereinbefore bequeathed to her or if she should die before me unto such her child or children as shall be living at my decease if more than one in equal shares I give and bequeath unto Elizabeth Fisher daughter of William Fisher of Ellerker aforesaid Farmer the sum of Six hundred pounds I give and bequeath unto Thomas Cobby of Kingston upon Hull aforesaid warehouseman Joseph Wood son in law of Richard Cobby the Elder deceased Charles Johnson of North Park in the County of York Farmer and Sarah the wife of Charles Smith of Kingston upon Hull Innkeeper the sum of three hundred pounds each I give and bequeath unto Thomas Weddle now or late of New York in the United States of North America formerly my partner in business at Kingston upon Hull aforesaid the legacy or sum of three hundred pounds But if he shall happen to die before me leaving his present wife him surviving who shall be living at the time of my death then I give and bequeath the same sum of three hundred pounds unto her accordingly I give and bequeath unto my friends Thomas Thompson and Ginger Holmes both of Kingston upon Hull aforesaid Shipowners John Alkinson of the same place Merchant John Thompson of the same place Merchant son of the said Thomas Thompson The Reverend John Brownlow of Harrington Hall Clerk Richard Cobby of Kingston upon Hull aforesaid warehouseman William John Hall and Thomas Spenar Hall both of the City of London Wharfingers and Francis Sleddon Manager of the Kingston Cotton Mills at Kingston upon Hull aforesaid the sum of two hundred pounds each I give and bequeath unto my godson Benjamin Thompson the sum of Two hundred pounds to be vested in and payable to him if and when he shall attain the age of twenty one years I give and bequeath the sum of One hundred pounds unto each of the children of John Goldsworthy of Selby in the county of York Carrier and Betsey his late wife who shall be living at my decease I give and bequeath unto my friends Anthony Bannister of Kingston upon Hull aforesaid Coal Merchant John Gresham of Kingston upon Hull aforesaid Draper John Whaley of Thorne in the said County of York Shipowner Robert Pearson of the City of London Merchant Jesse Matthison of Kingston upon Hull aforesaid Merchants Clerk and James Allen Jackson of the same place Solicitor the sum of One hundred pounds each I give and bequeath unto Martha Batchelor the niece of my present Housekeeper William Brownlow of Ravendale in the County of Lincoln Yeoman Batchelor the widow of Joseph Batchelor late of Kingston upon Hull aforesaid Lawyer deceased and William Dean of the same place Brushmaker the sum of One hundred pounds each But if the said Batchelor shall happen to die before me then I give and bequeath the said legacy of one hundred pounds so bequeathed to her as aforesaid unto her son William Batchelor I give and bequeath unto each of the domestic servants who shall be in my service at my decease (except my said housekeeper) the sum of ten pounds for mourning I give and bequeath unto ten of the clerks and six of the foremen to be selected by my executors and not hereinbefore named who may happen to be in my employment at my decease the sum of ten pounds each for mourning And I direct that the legacy duty payable for the several annuities and legacies given by my will or any codicil thereto shall be paid out of the residue of my personal estate and effects And I further direct that all the said several legacies hereinbefore by me bequeathed (except as otherwise appears by this my will) shall be paid by any trustees and executors to the several legatees who may be entitled thereto at the expiration of twelve calendar months next after my decease And as to the residue and remainder of the said trust moneys and promises Upon trust as to one equal eighth part or share thereof for and I give and bequeath the same unto the said William Walter Thompson And as to one other equal eighth part or share thereof Upon trust for and I give and bequeath the same unto the said Margaret Dixon or if she should die before me unto such her child or children as shall be living at my decease if more than one in equal shares And as to one other equal eighth part or share thereof Upon trust for and I give and bequeath the same unto the said Emma Pool or if she should die before me unto such her child or children as shall be living at my decease if more than one in equal shares And as to one other equal eighth part or share thereof Upon trust for and I give and bequeath the same unto such child or children of Charles Brownlow late of Ravendale in the County of Lincoln Farmer deceased as shall be living at my decease if more than one in equal shares And as to one other equal eighth part or share thereof Upon trust for and I give and bequeath the same unto the said William Brownlow the son of the said John Brownlow or if he should die before me unto such his child or children as shall be living at my decease if more than one in equal shares And as to one other equal eighth part or share thereof Upon trust for and I give and bequeath the same unto such child or children of my late partner William Pearson deceased as shall be living at my decease if more than one in equal shares And as to one other equal eighth part or share thereof Upon trust for and I give and bequeath the same unto the said Henry Cobby or if he should die before me then Upon trust for and I give and bequeath the said last mentioned eighth part or share unto such child or children of his brother the said William Cobby as shall be living at my decease if more than one in equal shares And as to the remaining one other equal eighth part or share thereof Upon trust for and I give and bequeath the same unto such child or children of Maria Brownlow late of Louth in the County of Lincoln Widow deceased as shall be living at my decease if more than one in equal shares Provided also and I do hereby further declare that upon the death incapacity resignation or refusal to act of either of the trustees hereby appointed or of any future trustees or trustee of this my Will it shall and may be lawful for the acting and continuing trustees or trustee for the time being or if there be no such trustee then for the executors or administrators of the last deceased trustee or if there be no such last mentioned person then for the renouncing or retiring trustees or trustee to appoint any other person or persons to act in the execution of the trusts aforesaid and upon every such appointment to make and execute all proper and necessary conveyances assignments and assurances in the law for vesting the said trust estate and promises in such newly appointed trustee or trustees conjointly with the surviving acting or continuing trustee or trustees or otherwise as the case may be And I do hereby also declare that such newly appointed trustee or trustees shall from time to time be and be considered a trustee or trustees of this my will as fully and effectually to all intents and purpose and with the like powers authorities and discretion as if the same trustee or trustees had been originally named and appointed by me therein And I do hereby nominate and appoint the said William Walter Thompson and Henry Cobby the Executors of this my will And I give and devise unto the said William Walter Thompson and Henry Cobby their heirs and assigns the legal estate of all such messuages lands tenements and hereditaments as are vested in me in fee simple or for any estate of freehold as mortgagee or trustee thereof To the intent that they may be enabled to convey and dispose of the same in such manner as occasion may require Provided also and I further declare that the trustees or trustee for the time being of this my will shall be charged and chargeable respectively with such money only as they respectively shall actually receive by virtue of the trusts hereby in them reposed notwithstanding their or either of their giving or signing or jointly in giving or signing any receipt or receipts for the sake of conformity And any one or more of them shall not be answerable or accountable for the other or others of them nor for involuntary losses And also that it shall and may be lawful for them or either of them with and out of the moneys which shall come to their respective hands by virtue of the trusts aforesaid to retain to and reimburse themselves respectively and also to allow their respective Co-trustees or Co-trustee all costs charges damages and expenses which they or any of them shall or may suffer sustain expend disburse or incur in or about the execution of the aforesaid trusts or in relation thereto And lastly I hereby revoke all former wills and testamentary papers by me at any time heretofore made and declare this only to be my last Will and Testament In witness whereof I the said William Batchelor Brownlow the testator This is a Codicil to the last Will and Testament of me William Batchelor Brownlow of the Borough of Kingston upon Hull Ship Owner which will bears date on or about the thirteenth day of September last Whereas I have in and by my said will after bequesting certain annuities and legacies as therein mentioned given devised and bequeathed all my real estate And also all my ships and shares of ships moneys and securities for money and all and every other my personal estate and effects whatsoever (not thereinbefore disposed of) unto and to the use of William Walter Thompson and Henry Cobby both of Kingston upon Hull aforesaid Merchants Clerks their heirs executors administrators and assigns according to the several natures and tenures thereof respectively Upon the trusts and for the intents and purposes in my said will particularly mentioned and declared And I have appointed them the said William Walter Thompson and Henry Cobby The Executors thereof Now I do hereby declare that it shall be lawful for and I do hereby authorise and empower the said William Walter Thompson and Henry Cobby or other the trustees or trustee for the time being of my said will if they or he shall think it prudent so to do to carry on or join in carrying on my business of a Ship Owner for so long time (not exceeding seven years from the time of my decease) as they or he shall consider it desirable and for the interest of the parties entitled under my said will and for that purpose to employ such part of my said personal estate as they shall consider necessary yet so as not to interfere with the payment of the legacies as directed by my said will And I direct that all losses charges and expenses attending or to be incurred in the carrying on of my said business shall be bourn paid and defrayed in the first instance out of the gains and profits thereof and if they should be insufficient then out of my residuary personal estate And the moneys to arise therefrom and all the gains profits and increase of the said business shall be added to and considered as part of my general personal estate and shall be applied and go in such manner as is directed in and by my said will with respect to my said personal estate And in all other respects I do hereby confirm my said will In witness whereof I William Batchelor Brownlow the testator have to this Codicil to my last Will and Testament subscribed my hand this twenty seventh day of December in the year of our Lord one thousand eight hundred and sixty four /-/ W.B.
